James Klimek practice in the field of securities law. He structures and documents private placements of securities for companies and funds, including drafting private placement memoranda. He advises companies on strategic transactions such as mergers and acquisitions. Mr. Klimek issues opinions on sales made under SEC Rule 144. He also counsel clients on the law of investment advisers and broker-dealers. Further, he defends Securities and Exchange Commission and state investigations.

He is a member of the Indianapolis Bar Association and the American Bar Association, where he serves on the State and Federal Regulation of Securities Committees.

Mr. Klimek has been a member of the firms of Maddox Hargett & Caruso and Lewis Kappes. From 1997-99, he was Associate Counsel at Standard Management Corporation, a publicly traded insurance holding company. He advised that company on mergers and acquisitions and defended class action litigation.

From 1994-97, Mr. Klimek served as Chief Counsel to the Indiana Securities Commissioner and from 1992-94 as Deputy Securities Commissioner. He also served on the North American Securities Administrators Association Investment Companies, International Corporation Finance and Uniform Securities Act Committees.

Mr. Klimek earned his J.D. from the Indiana University Maurer School of Law in 1992. In 1989, he earned his B.A., magna cum laude, from Colby College. At Colby, he was elected to Phi Beta Kappa and won the Stephen Coburn Pepper Prize for Philosophy. He spent his junior year studying in the philosophy department of University College London.
